It is agreed that the label agrees to engage the Artist for [pistas-cantidad] remix/es track/s upon the terms and conditions hereinafter set forth.

Type of Agreement: Standard Exclusive License Agreement

Preamble: Both parties agree that Licensee will start with a digital online release only, Distributing and selling the licensed track(s) through and on various download portals. It is in Licensee´s sole and only discretion to decide when and if the licensed material shall be released physical on formats such as Vinyl, CD or licensed to third parties.

Rights: Exclusive; incl. Master, Download, Online, Ringtones and Synch rights

Fee / Royalties / Download income: [artist-fee]

Univack Compilations: 25% (for Licensee)on 100% PPD.

Third party: 25% (for Licensee)on net income from Compilations or Synch Rights.

Accounting and Payment: Once artists shall meet the threshold of €100.00 of his royalty share (net income) or payment shall roll into the next pay period.

Packaging Deductions: None

Mastering Deductions: None

Synchronization/Internet: Licensee reserves the right to exploit the Recording in all formats including legal downloads, ring tones, true tones, logo sales, video sales by downloading and/or synch licensing.

Artist and/or Remixer obligations: , In case Univack Records needs, artist and/or Remixer shall provide Licensee with Biography, Discography, Logo, credits and press photo after signing the contract. He also commits that he hasn`t sent the track to anyone else.

Miscellaneous:

• Licensee shall provide Licensor every six month sales and stocks reports upon request starting the week before the scheduled release date;
• The rights in the masters shall automatically revert to Licensor if licensee fails to cure any material breach of contract/agreement within 30 days of being notified thereof or licensee ceases to trade under the company stated this agreement, or if licensee voluntarily or involuntarily files for protection from creditors under bankruptcy, re–organization, administration, liquidation, composition or equivalentlaws. For the avoidance of doubt, the failure to issue royalty statements and to pay royalties shall constitute a material breach of agreement;
• Licensor warrants and agrees that it has the right and power to enter into and fully perform this agreement, to make the commitments it makes herein and has obtained all necessary licenses, permission and consents, including but not limited to possession of valid sample clearances for each sample, if any embodied in each Master Recording. SAMPLES USED IN RECORDING: ARTIST(S) (Licensor) IS RESPONSIBLE FOR CLEARANCE OF ALL SAMPLES. UNIVACK RECORDS INDEMNIFYS ITSELF AGAINST ANY CLAIMS OF UNCLEARED SAMPLES AND COPYRIGHT INFRIGMINTS.
• * Net Income: ‘Net Income’ is defined as the Licensee’s gross royalty receipts from the exploitation of the Recording except that the Licensee shall first deduct from such gross receipts all costs and expenses incurred in the recording, manufacture, and exploitation of the Recording. This includes, but is not limited to, all studio and recording costs, all mastering, duplication and manufacturing costs, all remix costs, all video production costs, all artwork costs, all label, sticker, sleeve and packaging costs, all shipping and delivery costs, all promotion and marketing costs and any other payments made by Licensee to Licensor in respect of that Recording.
• The Licensor hereby indemnifies Univack Records against all claims, costs (including legal costs), and damages incurred arising from any breach by Licensor or any of the following warranties and undertakings: The Licensor hereby warrants and undertakes that:

OTHER: Upon signing this agreement the Artist(s) agree that NO copies of said title are to be given to anyone with the written permission of Univack Records.

(ee) It is the sole owner of the Recording

(eee) The Recording and the composition therein will not infringe the rights of any 3rd party.

(eeee) It has acquired all and any consents required from the songwriter and all 3rd parties involved in the production of the masters that are necessary to enter into this agreement.

Law/Jurisdiction: This agreement is governed by Spain Law.
