CONTRATO DE PRODUCCIÓN DISCOGRÁFICA Y EDICIÓN MUSICAL

De una parte D. Ignacio Vicente Vargas, mayor de edad, con DNI 80067666C, domicilio en Plaza Mayor 2 de Guadiana, Badajoz CP 06186, teléfono +34635508530, y correo electrónico contact@univack.com, quien actúa en su propio nombre y representación, y como titular de la marca UNIVACK RECORDS. En adelante, indistintamente, EL PRODUCTOR/EDITOR.
Y de otra parte, D/DÑA., 1)Roman Porohh 2)Aleksei Popov , mayor de edad, con NIF/DNI 1) 38009100222, 2) 38207080279, domicilio en 1) Padriku 11/5 – 2 , Tallinn, Estonia 2) Kaselaane 13/1, Saue vald, Estonia, teléfono ; y correo electrónico sunchainmusic@gmail.com; quien actúa en nombre y representación propio o de la de la sociedad Sunchain, con CIF No apply, y domicilio social en No apply, como administrador de la misma. En adelante, indistintamente, EL ARTISTA, LA BANDA, EL GRUPO, O EL AUTOR.
Ambas partes, se reconocen mutua y reciproca capacidad para comparecer y obligarse por medio del presente documento, en su respectiva condición,
EXPONEN
CLÁUSULAS
PREVIA 1ª.- El objeto del presente contrato entre la compañía y el autor, consiste en establecer las condiciones para la producción y edición de obra/s musical/es.
PREVIA 2º.- La duración del presente contrato, y de los distintos ámbitos que constituye al objeto de este, se extenderá por una duración de 20 años, prorrogables por el mismo periodo de tiempo si ninguna de las partes lo comunica con una antelación de tres meses a la finalización del mismo, pudiendo extenderse hasta el máximo legal permitido por la ley cuando pasará a ser de dominio público.
1.PRODUCCIÓN MUSICAL
1.1 OBJETO DEL CONTRATO
a) En virtud del presente contrato, EL ARTISTA (individualmente o formando parte de un grupo) cede de forma exclusiva, en la duración expuesta arriba, y en los términos que se especificarán más adelante, a favor de UNIVACK RECORDS sus servicios como autor, intérprete de (o en) grabaciones y registros sonoros, destinados a su reproducción o publicación por cuantos procedimientos sonoros existan en la actualidad o puedan existir en el futuro, tales como Discos Fonográficos, Compact Disc, Disco Numérico o cualquier otro sistema de reproducción sonora así como cualquier sistema de acoplamiento de imagen al sonido (sistemas audiovisuales) tales como DVD, CD-I, CD-ROM, CD-Plus y otros procedimientos similares, ya utilicen soportes físicos o electrónicos, destinados a la explotación comercial. Esta relación es meramente enunciativa y no limitativa. Queda incluida dentro de las modalidades de explotación que UNIVACK RECORDS podrá emprender con las grabaciones objeto de este contrato, la explotación on-line en sus diversas formas, tanto mera comunicación pública, como puesta a disposición, distribución, etc., y bajo cualquier sistema actual o futuro que opere en Internet (entre ellos, de forma enunciativa, Downloading o streaming).
b) Para el buen fin de dicho objeto, EL ARTISTA, se declara libre de cualquier otro compromiso, obligación o gravamen que pudiera impedirle lo aquí pactado.
c) Todos derechos recogidos en el presente contrato son concedidos a UNIVACK RECORDS tanto para España como para el resto del mundo, bien sea para su explotación de una forma directa, o a través de sus representantes, concesionarios o licenciados.
d) En aquellos supuestos en que EL ARTISTA sea autor o coautor de cualquier música o letra que sea grabada o registrada de cualquier forma en virtud del presente contrato, EL ARTISTA se compromete a editar tales obras musicales por medio de UNIVACK RECORDS u otra compañía que esta designe, en las mismas condiciones recogidas en el presente contrato. Así mismo, autoriza a UNIVACK RECORDS durante todo el plazo de vigencia del contrato, para fabricar, distribuir, ceder, vender y modificar todas las grabaciones que se realicen derivadas del presente contrato, y lo mismo respecto de los vídeos y filmes que igualmente se lleven a cabo, en cualquier clase de formato actual o futuro. Esa autorización se extiende a la reproducción, comunicación pública y sincronización en cualquier medio de las citadas grabaciones, filmes y vídeos. UNIVACK RECORDS, a través de la pertinente sociedad de gestión, satisfará los derechos de autor que a esta corresponda satisfacer según la legalidad vigente.
1. 2 COMPROMISO DE ENTREGA DE GRABACIÓN
a) EL ARTISTA se obliga a grabar y entregar la/s grabación/es, original/es e inédita/s propia/s consistente/s en:

b) EL ARTISTA se compromete a realizar la efectiva entrega de la obra descrita arriba (al menos del “premaster”, con calidad profesional) en el plazo de tiempo de 15 días. En el supuesto caso de que llegado el término de dicho plazo, no se hubiese producido la entrega de los registros acordados por causa ajena a UNIVACK RECORDS, esta podrá decidir si extiende o no dicho plazo, o por el contrario resolver el presente contrato, pudiendo reclamar los daños y perjuicios causados por el incumplimiento referido.
1.3 OTROS COMPROMISOS DE EL ARTISTA
EL ARTISTA, ya sea formando parte de un grupo, o bien individualmente, se compromete a:
a) Durante la vigencia de este contrato, y en cuanto a las obras objeto del mismo, a no realizar registros para cualquier otra compañía, persona o entidad dedicada a una actividad similar a la de UNIVACK RECORDS, salvo en aquellos casos en los que ésta conceda su autorización por escrito. En caso de incumplimiento de esta cláusula EL ARTISTA perderá todos los derechos económicos que este contrato le otorga, sin perjuicio de que UNIVACK RECORDS haga uso de las acciones que la ley señale para el caso.
b) Proporcionar a UNIVACK RECORDS, con carácter previo a la publicación de la obra, y con la suficiente antelación, los datos de información de etiqueta, a fin de posibilitar la inclusión de las oportunas menciones de los títulos, autores, etc. en la carátula del disco.
1.4 DERECHOS DEUNIVACK RECORDS
a) UNIVACK RECORDS obtiene el derecho exclusivo de propiedad con carácter definitivo sobre los registros sonoros y/o visuales de EL ARTISTA derivados del presente contrato en el mundo entero, y correspondiéndole sobre los mismos la condición de productor de fonogramas y/o grabaciones audiovisuales, con toda la amplitud que a tal condición confiere la vigente Ley de Propiedad Intelectual, así como los tratados y disposiciones internacionales aplicables. Corresponde a UNIVACK RECORDS el derecho exclusivo de fijación de interpretaciones de EL ARTISTA, de reproducción, distribución, comunicación al público, puesta a disposición del público, transformación de tales interpretaciones fijadas (requiriéndose no obstante el acuerdo de EL ARTISTA para la realización de remezclas sobre grabaciones preexistentes), con la extensión suficiente para la fabricación, distribución --ya sea mediante copias físicas y/o electrónicas de los registros sonoros y/o visuales objeto del presente contrato-- venta, radiación, fragmentación, ejecución pública, cesión, sincronización, acoplamientos con obras de terceros, hacer compilaciones, etc., sobre las obras objeto del presente contrato.
Dentro de los derechos a los que se alude, se encuentra la explotación on-line de las obras que se realicen al amparo del presente contrato, entendiendo como explotación on-line la comercialización de las mismas a través de Internet o cualquier otro sistema de transmisión electrónica similar que pueda crearse en el futuro. UNIVACK RECORDS podrá por lo tanto comercializar dichas obras, bajo cualquier sistema (entre otros específicamente aquellos conocidos como streaming y downloading), y, en definitiva, ejercitar cualquier derecho de explotación reconocido y reconocible al productor fonográfico por la legislación española, europea, y por los tratados internacionales vigentes en la materia.
b) UNIVACK RECORDS obtiene el derecho de usar y de permitir a otros usar el nombre de EL ARTISTA (incluido cualquier nombre profesional adoptado), fotografías, imagen, material biográfico etc. con fines de publicidad, promoción, y comercio, siendo lo anterior aplicable a la explotación on-line; todo ello en relación al objeto del presente contrato, y siempre que no se menoscabe el derecho moral inherente a su condición de autor o artista.
EL ARTISTA se compromete a colaborar al máximo con UNIVACK RECORDS, para desarrollar sus actividades artísticas ante el público, radio, televisión etc., de acuerdo con los planes promocionales establecidos por UNIVACK RECORDS. En la realización de cualquier actividad promocional que requiera la presencia física de EL ARTISTA, será necesario el acuerdo de ambas partes, haciéndose cargo UNIVACK RECORDS de los gastos de desplazamiento de EL ARTISTA, manutención, y estancia en Hotel. Cualquier otro gasto deberá ser pagado por EL ARTISTA, pudiendo ser deducido de sus liquidaciones de royalties.
c) UNIVACK RECORDS obtiene el derecho de comercializar los registros objeto del presente contrato bajo cualquier nombre, marca o sello que UNIVACK RECORDS o sus subsidiarios, afiliados o licenciados puedan elegir.
d) UNIVACK RECORDS y EL ARTISTA decidirán de mutuo acuerdo la elección de los diseños que se utilicen en las cubiertas de las obras que se publiquen al amparo del presente contrato, de la siguiente forma:UNIVACK RECORDS entregará a EL ARTISTA las opciones de diseño, acordando ambas partes cual es la más adecuada, si bien, en caso de desacuerdo, la decisión recaerá sobre UNIVACK RECORDS.
Sin embargo, será decisión exclusiva de UNIVACK RECORDS la exigencia de la calidad técnica, artística y comercial de cada obra. Todo ello dentro de los medios materiales y económicos de UNIVACK RECORDS, según su criterio y a su única elección.
e) UNIVACK RECORDS queda facultada para tomar las iniciativas pertinentes a la fabricación y venta de cualquier forma de las obras objeto del presente, sin limitación alguna. Igualmente es competencia de UNIVACK RECORDS todo cuanto se relaciona con la producción, establecimiento de precios y forma de distribución.
1.5. DERECHOS DE EL ARTISTA: ROYALTIES
a) Por su prestación artística, EL ARTISTA percibirá en concepto de remuneración, por la comercialización de las obras al amparo del presente contrato, y con carácter general, un canon o Royalty, consistente en el 50%, de la recaudación total de dicha comercialización, quedando para UNIVACK RECORDS el otro 50%; con las siguientes excepciones:
b) Para el caso de que las obras objeto del presente contrato sean REMIXES, así como para la recaudación obtenida por los DERECHOS DE SINCRONIZACIÓN de todas las obras objeto del presente contrato, sean del tipo que sea, al igual que la inclusión de estas en RECOPILATORIOS; los porcentajes de distribución de los beneficios obtenidos por dichos medios, quedarán fijados de la siguiente forma: 75% para UNIVACK RECORDS, y 25% para EL ARTISTA, quedando excluido de este acuerdo las sincronizaciones que el artista obtenga por su cuenta, que en tal caso los beneficios por esa sincronización quedaran al 100% para el artista, el artista tendrá la obligación de comunicarnos estas sincronizaciones para no interferir en nuestros informes.
c) UNIVACK RECORDS se reservará de los beneficios iniciales, la cantidad de 60€ euros para gastos de gestión y registro de las obras; dicha cantidad no se considerarán beneficios repartibles, quedando al margen de porcentualización alguna para EL ARTISTA.
d) Cualquier ingreso obtenido por UNIVACK RECORDS por la comercialización de las obras al amparo del presente contrato, cuya remuneración no esté prevista expresamente en el clausulado del mismo, y específicamente distinto de la venta de música (entendida como tal tanto la distribución de copias físicas en cualquier formato presente o futuro, como la transmisión electrónica de las mismas en cualquier medio o sistema) y previo cálculo de la cantidad neta de tal ingreso, se repartirá correspondiendo a UNIVACK RECORDS el 50 %, y a EL ARTISTA el 50 % restante.
1.6 DERECHOS DE EL ARTISTA: LIQUIDACIONES
a) UNIVACK RECORDS liquidará a EL ARTISTA el importe de los Royalties devengados por semestres naturales y dentro de los 30 días siguientes al final de cada semestre.
b) UNIVACK RECORDS pagará tal cantidad una vez deducidos los impuestos vigentes, así como cualquier tipo de deuda que EL ARTISTA pueda tener con LA COMPAÑÍA.
c) En el supuesto de producirse cargo en las liquidaciones de Royalties en concepto de devoluciones o reservas por utilizarse el sistema de ventas con derecho a devolución o depósito, EL ARTISTA acepta que se efectúe en sus liquidaciones la correspondiente deducción por este concepto.
d) EL ARTISTA podrá solicitar a UNIVACK RECORDS, la documental que verifica la exactitud de las liquidaciones semestrales, en caso de no recibirlas de forma previa a la liquidación efectiva de sus royaltys, durante el semestre posterior, realizando las comprobaciones que estime pertinentes.
1.7 OTROS
a) EL ARTISTA no podrá ceder ninguno de sus derechos y obligaciones de las obras sujetas al presente contrato a terceros, sin previo consentimiento por escrito por parte de UNIVACK RECORDS.
b) A la expiración del presente contrato, aquellos derechos aquí concedidos por EL ARTISTA, y que resulten necesarios para la explotación de la obra, continuarán siendo detentados por UNIVACK RECORDS.
c) Cualquier modificación en la forma jurídica de UNIVACK RECORDS o transformación o fusión de esta con otras personas naturales o jurídicas, no será obstáculo para la validez y continuidad de este contrato durante todo el período que queda establecido.
UNIVACK RECORDS se reserva, además, la facultad de hacerse sustituir durante la vigencia del presente contrato, por cualquier otra persona natural o jurídica, bien sea para todos los territorios o bien para parte de ellos, quedando en vigor, no obstante, todos y cada uno de las obligaciones y derechos aquí establecidos.
d) Con el fin de evitar cualquier duda, EL ARTISTA confirma que UNIVACK RECORDS tendrá, y aquí lo garantizan, la exclusividad sobre los derechos audiovisuales derivados del presente contrato. A los efectos del mismo, la expresión "derechos audiovisuales" se refiere al derecho de explotar todos los recursos audiovisuales en su más amplio significado.
2. EDICIÓN DISCOGRÁFICA
2.1 OBJETO.
El AUTOR otorga al EDITOR/ UNIVACK RECORDS su consentimiento para que éste, por sí o por tercero, divulgue, publique, reproduzca, distribuya y ejerza los derechos cedidos en virtud de este Contrato, en exclusiva, sobre las Obras, sin más limitación que las que dimanen del Contrato y de la Ley.
2.2. DERECHOS CEDIDOS.
El AUTOR cede al EDITOR en exclusiva todos los derechos de explotación sobre las Obras, incluyendo, a título enunciativo:
A) El DERECHO DE REPRODUCCIÓN GRÁFICA Y DISTRIBUCIÓN DE EJEMPLARES IMPRESOS de las Obras, bien sea de forma gratuita o bien mediante contraprestación, venta, alquiler, préstamo o cualesquiera otros métodos de explotación comercial.
Igualmente, queda comprendida la cesión de los derechos de remuneración compensatoria en la proporción en que no sea irrenunciable para el AUTOR, regulados en el vigente Texto Refundido de la Ley de Propiedad Intelectual (en adelante, "TRLPI").
B) El DERECHO DE REPRODUCCIÓN, entendido como fijación, directa o indirecta, provisional o permanente, por cualquier medio y en cualquier forma, de las Obras, en su integridad o fragmentadas, o de su música y/o letra, en un medio que permita su comunicación y la obtención de copias; en cualesquiera soportes, ya sean de sonido o de imagen y sonido, analógico o digital, de almacenamiento (como multimedia) o de cualquier otro tipo, inclusive, a título meramente enunciativo, soportes fonográficos, videográficos, DVD, CD Rom, CD Interactivos, Redes Digitales tipo Internet, Bases de Datos, etc.; y el DERECHO DE DISTRIBUCIÓN de las Obras reproducidas en cualquier forma, bien sea de forma gratuita o bien mediante contraprestación, venta, alquiler, préstamo, o cualquier otro método de explotación comercial.
Dentro de estos derechos cedidos se encuentra además el DERECHO DE PRIMERA FIJACIÓN de las Obras o de parte de ellas, ya sea con destino a una explotación de carácter comercial o publicitario, para inclusión en obras audiovisuales, incluyendo videojuegos, como tono para telefonía o informática o cualquier otro uso por medio conocido; así como el derecho a la remuneración del artículo 25 TRLPI, en la proporción que no sea irrenunciable para el AUTOR.
C) El DERECHO DE COMUNICACIÓN PÚBLICA, entendido como todo acto por el cual la totalidad o parte de las Obras se ponen a disposición de una pluralidad de sujetos sin necesidad de previa distribución de ejemplares, incluyéndose, a título meramente enunciativo y no limitativo, la representación escénica, recitación, disertación y ejecución pública de las Obras mediante cualquier medio o procedimiento; la proyección o exhibición pública de las Obras, incorporadas a un soporte audiovisual; la emisión de las Obras por radiodifusión o por cualquier otro medio que sirva para la difusión inalámbrica de signos o sonidos, comprendiendo el concepto de emisión la producción de señales portadoras de programas hacia un satélite; el derecho de puesta a disposición del público de las Obras por procedimientos alámbricos o inalámbricos, que faciliten el acceso a las Obras por cualquier persona desde el lugar y momento que ella elija, a través de cualquier tipo de red electrónica o digital, incluida Internet, o el acceso público en cualquier forma a las Obras incorporadas a una base de datos. Todo ello en cualquier modalidad de explotación, inclusive a título meramente enunciativo, las modalidades de acceso gratuito (como pueden ser las de Free TV), o acceso de pago (como Pay TV o Pay per View), y para cualquier medio de difusión (incluyendo, a título enunciativo, los digitales y analógicos).
D) El DERECHO DE TRANSFORMACIÓN mediante arreglos musicales, adaptaciones y/o traducciones de las Obras a cualquier lengua o idioma, fragmentaciones, y cualquier otra modificación de la que derive una obra diferente, incluso con la posibilidad de que la obra derivada no sea una obra musical; Y EL DERECHO A INCLUIR LAS OBRAS EN OTRAS OBRAS O PRESTACIONES, incluyendo la creación de obras compuestas, la inclusión de las Obras, total o parcialmente, en "ringtones", "tonos", "politonos", "truetones", "realtones", "ring-back tones" o similares, su incorporación a bases de datos, producciones multimedia (ya sean "on line" u "off line") o páginas WEB, UMTS o WAP, la sincronización de las Obras en cualquier tipo de obra y/o grabación sonora, visual y/o audiovisual, con cualquier tipo de fin (desinteresado, comercial, publicitario, etc.) o asociada a cualquier servicio y/o producto.
Esta cesión lleva aparejada necesariamente la autorización para suscribir acuerdos que incluyan repartos de porcentajes sobre las obras resultantes de la transformación o incorporación, bien entendido siempre que en la parte que corresponda al AUTOR y al EDITOR se respetarán los porcentajes de distribución de beneficios establecidos en el presente contrato.
E) El DERECHO DE COLECCIÓN: AUTOR renuncia a favor de UNIVACK RECORDS al derecho de colección, conforme se regula en la TRLPI.
UNIVACK RECORDS podrá asimismo autorizar el uso del título de las Obras para cualquier utilización (como, por ejemplo, uso promocional, para obras audiovisuales, para licenciar a un tercero el uso de una marca sobre el mismo, etc.).
2.3. SALVAGUARDA DEL DERECHO MORAL DEL AUTOR.
Queda reservado al AUTOR su Derecho Moral. Este será respetado en todo momento por el EDITOR, que exigirá a los terceros con que contrate la salvaguarda del mismo.
2.4 TERRITORIO.
Los derechos referidos anteriormente se conceden para el territorio de todo el UNIVERSO.
En los Estados en los que exista entidad de gestión de derechos de autor con contrato de representación suscrito con las entidades de gestión españolas, los derechos de gestión colectiva se ejercerán por medio de aquellas.
En los Estados en que no exista representación con entidad (es) de gestión, el AUTOR autoriza al EDITOR para el licenciamiento y cobro directo de cuantos derechos se ceden en virtud de este Contrato, bien entendido que el AUTOR no podrá exigir al EDITOR la persecución en dichos Estados de infracciones de los derechos sobre las Obras, dada la dificultad que las circunstancias jurídico-políticas de dichos Estados puede implicar.
2.5. INDIVISIBILIDAD DE LAS OBRAS.
Si las Obras estuviesen integradas por géneros distintos (literario o musical), no obstante considerarse indivisibles, el EDITOR está facultado para utilizar o autorizar a otros para que utilicen por separado tanto su letra como su música. En este caso, y en virtud de tal indivisibilidad, todos los autores de las Obras así utilizadas participarán en los rendimientos que se obtengan en la proporción establecida en este Contrato.
2.6. CONTRAPRESTACIÓN ECONÓMICA.
Como contraprestación por los derechos cedidos, el EDITOR se obliga a satisfacer al AUTOR los siguientes porcentajes de los rendimientos que se obtengan por la explotación de las Obras (si bien El AUTOR reconoce que su porcentaje le será abonado a través de la entidad de gestión pertinente, salvo para el reparto de las cantidades recaudadas por los derechos que se pudieran cobrar en los países mencionados en la clausula2.4 del presente contrato):

- Editor: 50%
- Autor: 50%
- Remezclas de Obras (Edición “Remixed”):
- Editor: 50%
- Autor: 50%
Los importes cobrados por el EDITOR por los conceptos relacionados anteriormente y que no hayan sido confiados a la entidad de gestión para su reparto, serán liquidados por el EDITOR al AUTOR dentro de los 60 días siguientes al fin de cada semestre natural
El EDITOR podrá imprimir, fabricar y distribuir gratuitamente ejemplares impresos o soportes sonoros y/o audiovisuales, así como autorizar actos puntuales de comunicación pública sin contraprestación económica, con destinos promocionales; entrando tal distribución o comunicación dentro de las actividades promocionales inherentes al contrato de edición, dentro de los usos del sector. El AUTOR no podrá exigir contraprestación alguna por tal explotación gratuita.
2.7. OBLIGACIONES DEL EDITOR.
a) Realizar, en la medida exigible según Ley, la edición digital de las Obras (pudiendo realizarse estas también de forma impresa, según la planificación comercial prevista por El EDITOR).
b) Observar la diligencia necesaria en el cumplimiento de las formalidades requeridas por las leyes para la protección efectiva de las Obras.
c) Realizar, cuanto sea posible y necesario para asegurar una explotación permanente y continua de las obras objeto del presente contrato, de acuerdo con la naturaleza de las mismas, y según los usos de la profesión.
UNIVACK RECORDS fijará libremente los precios de las copias o ejemplares que se comercialicen de las obras objeto del presente contrato.
2.9 OBLIGACIONES DEL AUTOR.
Entregar al EDITOR en un plazo de quince días desde la firma del presente contrato, el “PREMASTER” completo de las obras totalmente acabadas (con partitura, y letra en su caso) en soporte de audio que contenga la grabación sonora de la/s obra/s que permita al EDITOR su utilización profesional desde “el primer momento”.
2.10 AUTORIZACIÓN PARA CESIÓN A TERCEROS.
El EDITOR podrá vender, ceder o traspasar, parcial o totalmente, los derechos adquiridos en virtud del Contrato, así como confiar la explotación de los mismos a terceros, sin restricción ni limitación más que la de reservar al AUTOR los porcentajes de participación estipulados.
A título enunciativo, el EDITOR podrá concertar contratos de subedición para cualquiera de los Estados del TERRITORIO, pudiendo ceder a otros editores extranjeros parte de los derechos adquiridos por el EDITOR según este Contrato; contratos de coedición, pudiendo ceder a otros editores el porcentaje que considere conveniente de los derechos atribuidos a su participación editorial y/o incluso, las facultades de gestión y administración.
2.11 REGISTRO DE LAS OBRAS.
El EDITOR podrá inscribir las Obras en los Registros de Propiedad Intelectual, Copyright u otros del TERRITORIO, así como sus renovaciones, a nombre del EDITOR y del AUTOR, debiendo el AUTOR colaborar en lo que sea preciso.
2.12 UTILIZACIÓN DE IMAGEN, DATOS Y NOMBRE DEL AUTOR.
El EDITOR, a efectos de promoción o ejercicio de los derechos cedidos, podrá utilizar la imagen, el nombre y los datos biográficos del AUTOR, sin que este pueda exigir ninguna remuneración económica como contraprestación. Igualmente, el AUTOR autoriza al EDITOR, la inclusión de sus datos personales en una base de datos propia el tratamiento de los mismos de acuerdo con la legislación vigente (LOPD), con la finalidad del mantenimiento, seguimiento y control de la presente relación contractual. Asimismo, el AUTOR autoriza la cesión de sus datos personales a las entidades de gestión, coeditores y subeditores únicamente en la medida en que pueda resultar conveniente para la ejecución del presente Contrato y/o para la gestión de los derechos cedidos en virtud del mismo.
2.13 DERECHOS DE TANTEO Y RETRACTO A FAVOR DEL EDITOR.
La cesión de derechos otorgada no alcanza a las modalidades de utilización o difusión inexistentes o desconocidas al tiempo de la cesión. Ahora bien, si en el futuro el EDITOR quisiera explotar los derechos por medio de una modalidad y/o medio actualmente desconocido, lo comunicará al AUTOR, entendiéndose que el mismo está conforme. El EDITOR ostentará un derecho de tanteo y, en su caso, de retracto, respecto de dichas nuevas modalidades de utilización y/o de difusión
2.14 DEFENSA DE LOS DERECHOS.
El EDITOR podrá entablar, a su costa, por sí o por apoderado cualquier reclamación extrajudicial, judicial y/o administrativa en defensa de los derechos del AUTOR y/o del EDITOR sobre las Obras. Las indemnizaciones netas que se obtengan como consecuencia de dichas reclamaciones o procedimientos, una vez deducidos los gastos, serán repartidas entre el EDITOR y el AUTOR de conformidad con los porcentajes de reparto establecidos este Contrato. El AUTOR queda obligado a otorgar al EDITOR, o a la(s) persona(s) que éste designe, poderes notariales bastantes para llevar a efecto los aludidos procedimientos.
2.15 SUCESIÓN.
En el caso de sucesión mortis causa, el EDITOR no vendrá obligado al cumplimiento de ninguna de las obligaciones derivadas del este Contrato hasta que no se den las siguientes condiciones: que los derechohabientes acrediten la sucesión con los documentos y formalidades que exija la Ley, que los derechohabientes, caso de ser más de uno, comuniquenfehacientemente al EDITOR quién de ellos es el administrador de los derechos sucesorios a efectos del presente Contrato; y que con posterioridad a cada liquidación, le sea remitida la correspondiente factura.
3. DISPOSICIONES FINALES GENERALES
3.1 RESOLUCIÓN DEL CONTRATO.
Las partes podrán resolver el presente contrato por el incumplimiento de cualquiera de las obligaciones asumidas por la contraria, mediante previa comunicación escrita y fehaciente.
Previamente a la efectividad de la resolución del contrato, la parte que ejerza dicha facultad podrá otorgar un plazo prudencial para que la otra parte rectifique.
3.2 NOTIFICACIONES.
Las partes designan los datos expuestos al inicio, en el encabezamiento, de este contrato a efectos de comunicaciones entre sí. Cualquier modificación de los datos de contacto deberán ser comunicados inmediatamente a la otra parte, produciendo sus efectos las comunicaciones que se realicen en tales direcciones mientras no se comunique la modificación de los mismos.
3.3 JURISDICCIÓN.
Para la resolución de cualquier divergencia, cuestión o reclamación que pueda surgir en la interpretación o ejecución del presente contrato, ambas partes se someten expresamente a los Juzgados y Tribunales competentes de la ciudad de Sevilla con renuncia expresa a la competencia territorial que les pudiera corresponder.
Y en prueba de conformidad, las partes firman el presente Contrato, por duplicado ejemplar a un solo efecto, en el lugar y fecha arriba indicados.

Both parties mutually and reciprocally recognise their capacity to appear and bind themselves by means of this document, in their respective condition,
AND DECLARE
CLAUSES
1st PRELIMINARY - The purpose of this contract between the company and the author is to establish the conditions for the production and publishing of the musical work/s.
2nd PRELIMINARY - The duration of this contract, and of the different scopes that constitute the object of this, will be extended for a duration of 20 years, extendable for the same period of time if neither party communicates it with a minimun of three months in advance to the end of the same, and may be extended up to the legal maximum allowed by law when it will become public domain.
1. MUSICAL PRODUCTION
1.1. PURPOSE OF THE CONTRACT
a) By virtue of this contract, THE ARTIST (individually or as part of a group) assigns on an exclusive basis, for the duration set forth above, and under the terms to be specified below, in favour of UNIVACK RECORDS his/her services as author, performer of/in recordings and sound recordings, intended for reproduction or publication by any sound procedures that currently exist or may exist in the future, including, but not limited to, Phonograph Records, Compact Discs, Number Discs or any other sound reproduction system as well as any system to join images and sound (audiovisual systems) such as DVD, CD-I, CD-ROM, CD-Plus and other similar procedures, whether they use physical or electronic supports, intended for commercial exploitation.It is included within the exploitation modalities that UNIVACK RECORDS may do business with the recordings under this contract, as well as the on-line exploitation in its various forms (public communication and provision, distribution, etc.), and under any current or future system that operates on the Internet (including, but not limited to, Downloading or streaming).
b) For the successful completion of this purpose, THE ARTIST declares that he/she is free from any other commitment, obligation or tax that may prevent him/her from what has been agreed herein.
c) All rights contained in this contract are granted to UNIVACK RECORDS, both for Spain and the rest of the world, either for direct exploitation or through its representatives, license holders or licensees.
d) In those cases in which THE ARTIST is the author or co-author of any music or lyrics that have been recorded or captured in any way under this contract, THE ARTIST agrees to publish such musical works through UNIVACK RECORDS or any other company designated by it, under the same conditions set forth in this contract. Likewise, he/she authorises UNIVACK RECORDS during the entire term of the contract, to manufacture, distribute, transfer, sell and modify all recordings made under this contract, and the same situation applies with respect to the videos and films that are created, in any kind of current or future format. This authorisation extends to the reproduction, public communication and synchronisation of the aforementioned recordings, films and videos in any form. Through the relevant management company, UNIVACK RECORDS shall pay the required fees in respect of copyright according to the current legislation.
1. 2 COMMITMENT TO DELIVER THE RECORDING
a) THE ARTIST must record and deliver his/her own original and unpublished recording/s, consisting of:

b) THE ARTIST commits him/herself to deliver the work described above (at least the "premaster" edition, with professional quality) within 15 days. In the event that at the end of this term, the agreed records have not been delivered for reasons beyond UNIVACK RECORDS' control, UNIVACK RECORDS may decide whether or not to extend this term, or otherwise terminate this contract, and may claim for damages caused by the aforementioned non-compliance.
1.3 OTHER COMMITMENTS BY THE ARTIST
THE ARTIST, either as part of a group or individually, commits:
a) During the term of this contract, and with respect to the works covered by it, not to make records for any other company, person or entity engaged in an activity similar to that of UNIVACK RECORDS, except in those cases in which UNIVACK RECORDS grants its written authorisation. In case of breach of this clause, THE ARTIST shall lose all economic rights granted by this contract, without prejudice to UNIVACK RECORDS making use of the actions provided by law for the case.
b) To provide UNIVACK RECORDS, prior to the publication of the work, and with sufficient time in advance, the label information data, in order to enable the inclusion of the appropriate mentions of the titles, authors, etc. on the cover of the record.
1.4 UNIVACK RECORDS RIGHTS
a) UNIVACK RECORDS obtains the exclusive and definitive property right over the sound and/or visual recordings of THE ARTIST arising from this contract throughout the world, and shall be entitled to the status of producer of phonograms and/or audiovisual recordings, with the full extent conferred by the Intellectual Property Law in force, as well as the applicable international treaties and provisions. UNIVACK RECORDS has the exclusive right to fix THE ARTIST performances, to reproduce, distribute, communicate to the public, make available to the public, transform such fixed performances (however, the agreement of THE ARTIST is required to make remixes of pre-existing recordings), to the sufficient extent for the manufacture, distribution --whether by means of physical and/or electronic copies of the sound and/or visual recordings covered by this contract-- sale, radiation, fragmentation, public performance, assignment, synchronisation, coupling with third parties' works, making compilations, etc. , of the works under this contract.
Among the above mentioned rights is the on-line exploitation of the works made under this contract, understood as their commercialisation via the Internet or any other similar electronic transmission system that may be created in the future. UNIVACK RECORDS may therefore commercialise such works, under any system (among others, specifically those known as streaming and downloading), and exercise any right of exploitation recognised and recognisable to the phonogram producer by the Spanish and European legislation, and by the international treaties in force on the matter.
b) UNIVACK RECORDS obtains the right to use, and to allow others to use, THE ARTIST'S name (including any acquired professional name), photographs, image, biographical material, etc. for advertising, promotional and commercial purposes, the foregoing being applicable to the on-line exploitation; all in relation to the subject matter of this contract, and provided that the moral right inherent to his/her status as author or artist is not impaired.
THE ARTIST agrees to collaborate to the maximum extent possible with UNIVACK RECORDS, in order to develop his/her artistic activities before the public, radio, television, etc., in accordance with the promotional plans established by UNIVACK RECORDS. When carrying out any promotional activity that requires the physical presence of THE ARTIST, the agreement of both parties shall be necessary, and UNIVACK RECORDS shall be responsible for THE ARTIST's travel, meals and hotel stay expenses. Any other expenses shall be paid by THE ARTIST, and may be deducted from its royalty payments.
c) UNIVACK RECORDS obtains the right to commercialise the records covered by this contract under any name, trademark or label that UNIVACK RECORDS or its subsidiaries, affiliates or licensees may choose.
d) UNIVACK RECORDS and THE ARTIST shall decide by mutual agreement the choice of the designs to be used on the covers of the works to be published under this contract, as follows: UNIVACK RECORDS shall provide THE ARTIST with the design options, with both parties agreeing on the most appropriate one, although, in case of disagreement, the decision shall be up to UNIVACK RECORDS.
However, it shall be UNIVACK RECORDS' exclusive decision to demand the technical, artistic and commercial quality of each work. All this within the material and economic means of UNIVACK RECORDS, at your discretion and at your sole choice.
e) UNIVACK RECORDS is authorised to take the pertinent initiatives for the manufacture and sale in any form of the works subject matter hereof, without any limitation whatsoever. UNIVACK RECORDS is also responsible for everything related to production, pricing and distribution.
1.5. ARTIST RIGHTS: ROYALTY
a) For its artistic performance, THE ARTIST shall receive a payment for the commercialisation of the works under this contract, and generally, a royalty, consisting of 50% of the total earnings of such commercialisation, being the remaining 50% for UNIVACK RECORDS; with the following exceptions:
b) For those works under this contract that are REMIXES, as well as for the earnings obtained from the SYNCHRONISATION RIGHTS of all the works under this contract, of whatever type, as well as the inclusion of these in COMPILATIONS; the distribution percentages of the benefits obtained by such means, shall be as follows: 75% for UNIVACK RECORDS, 25% for THE ARTIST. Excluding from this agreement the synchronizations that the artist obtains on his own, in which case the benefits for that synchronization will remain 100% for the artist. The artist will have the obligation to notify us about these synchronizations so as not interfere our reports.
c) UNIVACK RECORDS shall reserve from the initial profits, the amount of 60€ for management and registration expenses of the works; this amount shall not be considered as distributable profits, and shall not be considered as a percentage for THE ARTIST.
d) Any income obtained by UNIVACK RECORDS from the commercialisation of the works under this contract, whose remuneration is not expressly provided for in the clauses of this contract, and specifically other than the sale of music (understood as such both the distribution of physical copies in any present or future format, and their electronic transmission in any medium or system) and after calculating the net amount of such income, shall be divided, 50 % corresponding to UNIVACK RECORDS and the remaining 50 % to THE ARTIST.
1.6 ARTIST RIGHTS: SETTLEMENTS
a) UNIVACK RECORDS shall pay THE ARTIST the amount corresponding to the Royalties accrued by calendar semesters and within 30 days after the end of each semester.
b) UNIVACK RECORDS shall pay such amount after deducting current taxes, as well as any type of debt that THE ARTIST may have with THE COMPANY.
c) In the event of a charge in the Royalty settlements for returns or reservations due to the use of the sales system with the right of return or deposit, THE ARTIST accepts that the corresponding deduction for this concept would be made in his/her settlements.
d) THE ARTIST may request UNIVACK RECORDS the documentation to verify the semester settlements accuracy, in case of not receiving them prior to the actual settlement of their royalties, during the subsequent semester to make the verifications he/she deems appropriate.
1.7 OTHER
a) THE ARTIST may not transfer any of his/her rights and obligations for the works under this contract to third parties without the prior written consent of UNIVACK RECORDS.
b) Upon the expiration of this contract, those rights granted herein by THE ARTIST, and which are necessary for the exploitation of the work, shall continue to be held by UNIVACK RECORDS.
c) Any modification in UNIVACK RECORDS legal form, its transformation or merger with other natural or legal persons, shall not be an obstacle to the validity and continuity of this contract during the entire period established herein.
UNIVACK RECORDS also reserves the right to be replaced during the term of this contract by any other natural or legal person, either for all or part of the territories, remaining in force, however, each and every one of the obligations and rights set forth herein.
d) For the avoidance of doubt, THE ARTIST confirms that UNIVACK RECORDS shall have, and hereby guarantees, exclusivity to the audiovisual rights arising from this contract. For the purposes thereof, the term "audiovisual rights" refers to the right to exploit all audiovisual resources in its broadest meaning.
2. RECORD PUBLISHING
2.1 PURPOSE.
The AUTHOR grants the PUBLISHER/UNIVACK RECORDS his/her consent, itself or by third parties, to disclose, publish, reproduce, distribute and exercise the rights, exclusively assigned under this Contract, on the Works, with no other limitation than those arising from the Contract and the Law.
2.2. ASSIGNED RIGHTS.
The AUTHOR assigns the PUBLISHER, on an exclusive basis, all exploitation rights over the Works, including, but not limited to:
A) The RIGHT TO GRAPHICALLY REPRODUCE AND DISTRIBUTE PRINTED COPIES of the Works, either free of charge or via payment, sale, rental, loan or any other method of commercial exploitation.
Likewise, the assignment of the compensatory remuneration rights in a proportion that is not unwaiverable for the AUTHOR, which are regulated in the current Revised Text of the Spanish Intellectual Property Law (hereinafter, "TRLPI"), is also included.
B) The RIGHT OF REPRODUCTION, understood as a direct or indirect, provisional or permanent, by any means and in any form, fixation of the Works, in its entirety or fragmented, or of its music and/or lyrics, in a medium that allows its communication and the obtaining of copies; in any media, whether sound or image and analogue or digital sound, storage (such as multimedia) or any other type, including, but not limited to, phonograph or videograph formats, DVD, CD-Rom, Interactive CDs, Internet-type Digital Networks, Databases, etc.; and the RIGHT OF DISTRIBUTION of the Works reproduced in any form, either free of charge or via payment, sale, rental, loan, or any other method of commercial exploitation.
Within these assigned rights, the RIGHT OF FIRST FIXATION of the Works or part of them can also be found, either for commercial or advertising exploitation, for inclusion in audio-visual works, including video games, as a ring tone or an IT tone, or any other use by known means; as well as the right to remuneration, included in Article 25 of TRLPI, in a proportion that is not unwaiverable for the AUTHOR.
C) The RIGHT OF PUBLIC COMMUNICATION, understood as any act by which all or part of the Works are made available to a plurality of persons, without the need for prior distribution of copies, including, but not limited to, the staging, recitation, dissertation and public performance of the Works by any means or process; the public projection or exhibition of the Works, incorporated into an audio-visual medium; the broadcasting of the Works by radio broadcasting or by any other means that serves for the wireless dissemination of signs or sounds, including the concept of broadcasting the production of program-carrying signals to a satellite; the right to make the Works available to the public by wired or wireless procedures that facilitate access to the Works by any person from any place and at any time of his choosing, through any type of electronic or digital network, including the Internet, or public access in any form to the Works incorporated in a database. All of this in any mode of exploitation, including, but not limited to, free access (such as Free TV) or pay access (such as Pay TV or Pay per View), and for any broadcasting media (including, but not limited to, digital and analogue).
D) The RIGHT OF TRANSFORMATION by means of musical arrangements, adaptations and/or translations of the Works into any language, fragmentations, and any other modification from which a different work is derived, even with the possibility that the derivative work is not a musical work; AND THE RIGHT TO INCLUDE THE WORKS IN OTHER WORKS OR PERFORMANCES, including the creation of composed works, the inclusion of the Works, totally or partially, in "ring tones", "tones", "true tones", "real tones", "ring-back tones" or similar, their incorporation in databases, multimedia productions (whether "on-line" or "off-line") or WEB, UMTS or WAP pages, the synchronisation of the Works in any type of work and/or sound, visual and/or audiovisual recording, with any type of purpose (disinterested, commercial, advertising, etc.) or associated with any service and/or product.
This assignment necessarily entails the authorisation to sign agreements that include the sharing of percentages on the works resulting from the transformation or incorporation, with the understanding that in the part that corresponds to the AUTHOR and the PUBLISHER, the percentages of distribution of benefits established in this contract shall be respected.
E) COLLECTION RIGHTS: The AUTOR waives in favour of UNIVACK RECORDS the right of collection, as regulated in the TRLPI.
UNIVACK RECORDS may also authorise the use of the title of the Works for any use (such as, for example, promotional use, audio-visual works, to license the use of its trademark to a third party, etc.).
2.3. SAFEGUARD OF THE AUTHOR'S MORAL RIGHTS
The moral rights of the AUTHOR are reserved to him/herself. This shall be respected at all times by the PUBLISHER, which shall require the third parties it may contract to safeguard it.
2.4. TERRITORY
The rights referred to above are granted for the territory of the entire UNIVERSE.
In States where there is a copyright management entity with a representation contract signed with the Spanish management entities, collective management rights shall be exercised through those entities.
In States where there is no representation with management entity/entities, the AUTHOR authorises the PUBLISHER to license and directly collect all rights assigned under this Contract, on the understanding that the AUTHOR may not require the PUBLISHER to prosecute in those States for infringement of rights in the Works, given the difficulty that the legal and political circumstances of those States may entail.
2.5. INDIVISIBILITY OF THE WORKS
If the Works are composed of different genres (literary or musical), even though they are considered indivisible, the PUBLISHER would be entitled to use or authorise others to use both their lyrics and music separately. In this case, and by virtue of such indivisibility, all authors of the Works used in this way shall share in the income obtained in the proportion established by this Contract.
2.6. MONETARY COMPENSATION
In consideration for the rights assigned, the PUBLISHER must pay the AUTHOR the following percentages of the income obtained from the exploitation of the Works (although the AUTHOR acknowledges that his/her percentage shall be paid to him/her through the relevant management entity, except for the distribution of the amounts collected for the rights that could be collected in the countries mentioned in Clause 2.4 of this contract):

- Publisher: 50%
- Author: 50%
The amounts collected by the PUBLISHER for the items listed above and that have not been entrusted to the collecting society for their distribution, shall be settled by the PUBLISHER to the AUTHOR within 60 days after the end of each calendar semester.
The PUBLISHER may print, manufacture and distribute free of charge printed copies or sound and/or audio-visual media, as well as authorise specific acts of public communication without financial consideration, for promotional purposes; such distribution or communication would be part of the promotional activities inherent to the publishing contract, in accordance with the sector's practice. The AUTHOR may not demand any payment for such free exploitation.
2.7. PUBLISHER'S OBLIGATIONS
a) To carry out, to the extent required by law, the digital edition of the Works (which may also be in printed form, according to the commercial planning envisaged by THE PUBLISHER).
b) To exercise the due diligence in complying with the formalities required by law for the effective protection of the Works.
c) To do everything possible and necessary to ensure a permanent and continuous exploitation of the works under this contract, in accordance with their nature and the profession's practice.
UNIVACK RECORDS shall be free to set the prices of the copies of the works covered by this contract.
2.9. AUTHOR'S OBLIGATIONS
To deliver to the PUBLISHER, within fifteen days from the signing of this contract, the complete "PREMASTER" version of the fully finalised works (with score and lyrics, if applicable) on audio support containing the sound recording of the work/s that allows the PUBLISHER to professionally use it from "the very first moment".
2.10 AUTHORISATION FOR THE ASSIGNMENT TO THIRD PARTIES.
The PUBLISHER may sell, assign or transfer, partially or totally, the rights acquired by virtue of the Contract, as well as entrust their exploitation to third parties, without restriction or limitation other than that of reserving to the AUTHOR the stipulated percentages of participation.
By way of example, the PUBLISHER may enter into: sub-publishing contracts for any of the States of the TERRITORY, and may assign part of the rights acquired by the PUBLISHER under this Contract to other foreign publishers; and co-publishing contracts, wit the possibility to assign other publishers the percentage of the rights attributed to its publishing participation and/or even management and administrative powers it deems appropriate.
2.11 REGISTRATION OF THE WORKS.
The PUBLISHER may register the Works in the Intellectual Property, Copyright or other Registers of the TERRITORY, as well as their renewals, under the name of the PUBLISHER and the AUTHOR, and the AUTHOR must collaborate in any necessary way.
2.12. USE OF THE AUTHOR'S IMAGE, DATA AND NAME
For the purposes of promotion or exercise of the rights assigned, the PUBLISHER may use the AUTHOR's image, name and biographical data, without the latter being able to demand any financial remuneration in return. Likewise, the AUTHOR authorises the PUBLISHER to include his/her personal data in its own database and to process them in accordance with the current Spanish Data Protection Act (LOPD), for the purpose of maintaining, monitoring and controlling this contractual relationship. Furthermore, the AUTHOR authorises the transfer of his/her personal data to collecting societies, co-publishers and sub-publishers only to the extent that this may be appropriate for the execution of this Contract and/or for the management of the rights transferred by virtue of this Contract.
2.13. PRE-EMPTION AND WITHDRAWAL RIGHTS IN FAVOUR OF THE PUBLISHER
The transfer of rights granted does not extend to methods of use or dissemination that did not exist or were unknown at the time of the transfer. However, if in the future the PUBLISHER wishes to exploit the rights by means of a currently unknown method and/or medium, it shall inform the AUTHOR, on the understanding that he/she agrees to this. The PUBLISHER shall have a right of pre-emption and, where appropriate, a right of withdrawal in respect of such new methods of use and/or dissemination.
2.14 DEFENCE OF THE RIGHTS.
The PUBLISHER may bring, at its own expense, by itself or by proxy, any extrajudicial, judicial and/or administrative claim in defence of the AUTHOR's and/or PUBLISHER's rights in the Works. The net compensation obtained as a result of such claims or proceedings, after deduction of expenses, shall be divided between the PUBLISHER and the AUTHOR in accordance with the distribution percentages set out in this Contract. The AUTHOR must grant the PUBLISHER, or the person/s designated by the PUBLISHER, sufficient powers of attorney to carry out the above-mentioned procedures.
2.15 SUCCESSION.
In the event of a succession upon death, the PUBLISHER shall not be bound to fulfil any of the obligations under this Contract until the following conditions have been met: the succession must be evidenced by the right-holders with the documents and formalities required by law; and, if there is more than one right-holder, they must reliably inform the PUBLISHER about which of them is the succession rights administrator for the purposes of this Contract; and after each settlement, they must be sent the corresponding invoice.
3. GENERAL FINAL PROVISIONS
3.1 TERMINATION OF THE CONTRACT.
The parties may terminate this contract for breach of any of the obligations assumed by the other party, by means of prior written and reliable communication.
Prior to the termination of the contract, the party exercising the termination power may allow a reasonable period of time for the other party to rectify.
3.2 NOTIFICATIONS.
The parties designate the data set out at the beginning, in the heading of this contract for the purpose of communications between them. Any modification of the contact details must be communicated immediately to the other party, and communications made to such addresses shall be effective, as long as this modification is not communicated.
3.3 JURISDICTION.
For the resolution of any divergence, question or claim that may arise in the interpretation or execution of this contract, both parties expressly submit to the competent Courts and Tribunals of the city of Seville ("Juzgados y Tribunales de la ciudad de Sevilla"), expressly waiving any territorial jurisdiction that may correspond to them.
And in witness whereof, the parties hereto have signed this Contract, in duplicate, in the place and on the date indicated above.
